Terms of Service

These Terms of Service (the “Terms”) govern your use of the website located at https://portfolioslab.comand any related services (collectively, the “Service”) provided by PortfoliosLab Analytics FZCO, a free-zone company registered at IFZA, Dubai Silicon Oasis, United Arab Emirates (“PortfoliosLab”, “we”, “us”, or “our”).

By accessing or using the Service, you agree to these Terms and to comply with all applicable laws and regulations. If you do not agree with these Terms, you are prohibited from using the Service. Your use of the Service is also subject to our Privacy Policy, which is incorporated by reference into these Terms.

Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction, whichever is greater) to create an account or purchase a subscription. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

No Financial Advice

PortfoliosLab is a portfolio analytics and educational tool. The Service, including all data, metrics, backtests, optimizer results, community portfolios, screeners, and other content, is provided for informational and educational purposes only and does not constitute investment, financial, legal, tax, or other professional advice. PortfoliosLab is not a registered investment advisor, broker-dealer, or fiduciary in any jurisdiction and does not provide personalised recommendations.

You are solely responsible for your investment decisions. Past performance, including backtested or simulated results, is not indicative of future results. You should consult a qualified, licensed advisor before making investment decisions and conduct your own due diligence with respect to any security, strategy, or portfolio.

Subscription and Renewal

Paid Subscription:Our Service provides full access for a fee (a “Paid Subscription”). By choosing a Paid Subscription, you agree to pay the applicable fees, which may be one-time or recurring.

Billing Cycle: Recurring fees are billed in advance based on your chosen renewal interval (e.g., monthly or annual). Subscriptions are pre-paid, and you may cancel at any time via your account settings or by contacting our support team.

Taxes:All fees are exclusive of any federal, provincial, state, local, or other governmental taxes, fees, or charges (“Taxes”), unless stated otherwise. You are responsible for any Taxes associated with your use of the Service. If we are required to pay or collect Taxes on the fees you have paid, you will be liable for those, and we may charge them to your payment method.

Failed Payments: If a payment fails, is delayed, reversed, declined, or if we suspect a fraudulent transaction, we may immediately revoke access to your Paid Subscription without prior notice.

Automatic Renewal: Your Paid Subscription auto-renews to provide uninterrupted service. It will renew at the end of your subscription term unless cancelled earlier. You authorise us to charge the renewal fee and any related Taxes to your saved payment method. By default, your renewal period mirrors your initial subscription (e.g., an annual subscription auto-renews annually). We may attempt to bill your account up to the final month of the subscription period to guarantee seamless service. You can review and manage renewal dates in your account settings.

Cancelling Automatic Renewal: To manage or cancel your Paid Subscription, navigate to the subscription settings on your account. Once auto-renewal is disabled, your subscription will remain active until the end of the current billing period, after which it will expire.

Fees and Changes: We reserve the right to adjust our fees or introduce new ones, including raising fees, charging for previously free features, or modifying included features. If you do not agree with a fee change, your sole remedy is to cancel your Paid Subscription before the change takes effect.

Refunds: All subscription fees are paid in advance and are non-refundable once the Service has been accessed during the billing period. Annual subscriptions are not eligible for prorated refunds upon cancellation. We may, at our sole discretion, issue refunds in the case of verified technical issues attributable to PortfoliosLab that materially prevented your use of the Service. Where mandatory consumer protection laws apply, we will honour any refund rights granted by such laws.

Limitations of Use

By using the Service, you warrant on behalf of yourself, your users, and any other party you represent that you will not:

  1. modify, copy, prepare derivative works of, decompile, or reverse engineer any materials or software contained in the Service;
  2. remove any copyright or other proprietary notations from any materials or software in the Service;
  3. transfer the materials to another person or “mirror” the materials on any other server;
  4. access or use the Service, or any portion of its data, content, or output, to develop, train, fine-tune, benchmark, or improve any machine learning model, large language model, artificial intelligence system, or any competing product or dataset;
  5. use any robot, spider, scraper, crawler, automated extraction tool, or similar means to access, harvest, or download data from the Service, except in strict accordance with our published robots.txt file and any documented public API;
  6. bulk-download, redistribute, resell, sublicense, or otherwise commercially exploit any data, analytics, or content obtained from the Service without our prior written consent;
  7. circumvent, disable, or otherwise interfere with any security, rate-limiting, authentication, or access-control feature of the Service;
  8. knowingly or negligently use the Service in a manner that abuses, disrupts, or overloads our networks or any other service we provide;
  9. use the Service to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;
  10. use the Service in violation of any applicable laws or regulations;
  11. use the Service in connection with sending unauthorised advertising or spam;
  12. harvest, collect, or gather user data without the user’s consent; or
  13. use the Service in any way that may infringe the privacy, intellectual property rights, or other rights of third parties.

Automated and AI-Client Access.

Notwithstanding the restrictions in the section above, we offer authorised programmatic access to the Service through documented interfaces, including our public API and Model Context Protocol (MCP) server. Authenticated use of these interfaces by you, or by an AI assistant or agent acting on your behalf under your account, is permitted subject to (i) these Terms, (ii) any rate limits, quotas, and usage tiers we publish, and (iii) any additional terms specific to the API or MCP server. This permission is limited to your own use of the Service — it does not authorise training of machine learning models on Service output, redistribution of data to third parties, or building competing analytics products, all of which remain prohibited.

Intellectual Property and Licence

The Service and all materials contained in it — including software, data, analytics, metrics, methodologies, text, graphics, and logos — are owned by or licensed to PortfoliosLab and are protected by applicable copyright, trademark, database, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your internal business use or personal investment analysis. This licence does not transfer any title or ownership rights and terminates automatically if you violate these Terms.

All rights not expressly granted to you in these Terms are reserved by PortfoliosLab.

User-Generated Content

You retain your intellectual property ownership rights over content you submit to the Service for publication (“User Content”), such as portfolios, notes, or comments. We do not claim ownership of your User Content, but we require a licence from you in order to operate the Service.

When you post, upload, share, or otherwise transmit User Content, you grant us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide licence to use, distribute, modify, run, copy, publicly display, translate, and create derivative works of your User Content in a manner consistent with your privacy preferences and our Privacy Policy.

You may terminate this licence at any time by deleting your User Content or account. However, the licence will survive deletion to the extent that (i) your User Content has been incorporated into aggregated, anonymised, or statistical datasets (such as community portfolio aggregates), (ii) other users have referenced, copied, or forked your User Content prior to deletion, or (iii) we are required to retain it to comply with legal obligations. Aggregated and anonymised data derived from User Content may continue to be used by us indefinitely.

You grant us permission to use your username and other identifying information associated with your account in a manner consistent with your privacy preferences and our Privacy Policy.

Liability

The Service and all data and materials are provided “as is” and “as available”. To the extent permitted by law, PortfoliosLab makes no warranties, express or implied, and disclaims all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, accuracy, or non-infringement of intellectual property or other rights.

In no event shall PortfoliosLab or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use the Service, even if PortfoliosLab or an authorised representative has been notified, orally or in writing, of the possibility of such damage.

In the context of these Terms, “consequential loss” includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use, and loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity, or otherwise.

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Service or these Terms will not exceed the greater of (a) the amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) USD 100.

Because some jurisdictions do not allow limitations on implied warranties or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

PortfoliosLab has not reviewed all of the sites linked from the Service and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval, or control by PortfoliosLab. Use of any linked site is at your own risk, and we strongly advise you to make your own investigations with respect to the suitability of those sites.

Right to Terminate

We may suspend or terminate your right to use the Service and terminate these Terms immediately, with or without notice, for any breach of these Terms, suspected fraudulent or unlawful activity, or for any other reason at our sole discretion. Upon termination, your right to use the Service will cease immediately.

Force Majeure

PortfoliosLab will not be liable for any failure or delay in performance under these Terms caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, government action, labour disputes, internet or telecommunications failures, third-party service outages (including cloud providers and market-data vendors), pandemics, or natural disasters.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempted assignment without such consent will be null and void. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganisation, or sale of assets.

Entire Agreement and Waiver

These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and PortfoliosLab regarding the Service and supersede any prior agreements. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Severance

Any term of these Terms which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms is not affected.

Notices

Notices to PortfoliosLab should be sent to support@portfolioslab.com. We may provide notices to you by email to the address associated with your account, by posting on the Service, or by any other reasonable means. Notices will be deemed effective when sent.

Changes to These Terms

We reserve the right to review and amend any of these Terms at our sole discretion. When we do, we will update this page and revise the “Last updated” date above. Material changes may also be communicated by email or in-product notice. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, as applicable in the Emirate of Dubai, without regard to its conflict-of-law principles. You irrevocably submit to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates, for the resolution of any dispute arising out of or in connection with these Terms or the Service.
