Affiliate Agreement

This Affiliate Agreement ("Agreement") contains the complete terms and conditions between PortfoliosLab ("PortfoliosLab") and you, regarding your application to and participation in the PortfoliosLab Affiliate Program (the "Affiliate Program") as an affiliate of PortfoliosLab (an "Affiliate”), and the establishment of links from your website to our website.

BY SUBMITTING AN APPLICATION TO JOIN OR BY PARTICIPATING IN THE AFFILIATE PROGRAM, YOU ARE CONFIRMING THAT YOU HAVE READ THIS AGREEMENT AND THE PORTFOLIOSLAB TERMS AND CONDITIONS

AND THAT YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.

A. Definitions

"Affiliate" - The business, individual, or entity applying to or participating in the Affiliate Program, or that displays PortfoliosLab products and services using an affiliate tracking code in exchange for receiving a commission from PortfoliosLab for sales directly resulting from such display.

"Affiliate Site" - The Affiliate's website which displays PortfoliosLab Products and Services and/or promotions.

"PortfoliosLab's Products and Services" - Web hosting and related products and services available for purchase from PortfoliosLab.

"Commission Fees" - The amount paid for each Qualified Purchase by a Referred Customer that you refer to PortfoliosLab, subject to the Commission Threshold.

"Commission Threshold" - The amount of Commission Fees an Affiliate must accrue before receiving a payment.

"Qualified Purchase" - A sale of PortfoliosLab Products and Services by PortfoliosLab, with a term of twelve (12) months or longer, to a Referred Customer that meets the criteria outlined in this Agreement.

"Referred Customer" - Each new and unique customer referred from Affiliate through a Link that provides valid account and billing information.

"Registration Form" - Any order forms or other signup forms submitted by a customer to purchase PortfoliosLab Products and Services.

B. Enrollment and Promotion

a. To enroll, submit a completed Affiliate Program Signup Form found on the affiliate landing page or through a direct invitation.

b. We will evaluate your application and notify you of your acceptance or rejection. We may reject your application if your website or content is unsuitable for the Affiliate Program, including unlawful or policy-violating content.

c. If rejected, you may not re-apply using the same or a different domain/URL to add the previously rejected domain/URL within three (3) months. We reserve the right to notify any prospective affiliate of their rejection or removal at any time.

d. Use of Links. If accepted, we will provide links to identify your site as part of the Affiliate Program. You agree to use the Links in compliance with this Agreement and not use unapproved images or text. Do not use cookie stuffing techniques.

e. You shall not use PortfoliosLab IP without prior written permission or engage in practices causing confusion over the use of PortfoliosLab IP.

f. Discounts and Coupons. You may only use coupons and discounts provided through the Affiliate Program. Violations may result in termination or withholding of Commission Fees.

C. Order Processing and Commissions

PortfoliosLab will handle all order processing, payments, cancellations, and refunds. We will track Qualified Purchases via your Affiliate link and make this information available through our affiliate dashboard.

Commissions are based on the rates stated on our website for each Qualified Purchase, excluding certain purchases such as those transferred from partners or subsidiaries, those associated with resellers, and fraudulent or canceled purchases.

We reserve the right to withhold commissions if we suspect fraud or improper activity, and to deduct any corresponding Commission Fees from future payments.

D. Restrictions and Compliance

a. Self-Referrals and Commission Sharing. Self-referrals and commission sharing are strictly prohibited. You are not permitted to use your own affiliate link to make purchases or create accounts for yourself, your relatives, or employees.

b. Fraudulent Activities. Engaging in fraudulent activity, such as click fraud, cookie stuffing, or using unauthorized promotional methods, is strictly prohibited.

c. PPC Advertising. If you are running paid advertising campaigns, you are not allowed to bid on PortfoliosLab branded keywords and ANY misspelled branded keywords.

d. FTC Endorsement Compliance. You must comply with applicable laws, regulations, and guidelines concerning advertising and marketing, including the FTC Endorsement Guides. This includes disclosing material connections between advertisers and endorsers, prominently disclosing compensation received for referred customers, and adhering to relevant regulations and guidelines. Failure to comply may lead to the withholding of commission fees and termination of the affiliate relationship.

e. Unauthorized Use of Brand Names. You are not allowed to use PortfoliosLab trademarks in domain names, social media accounts, or communities names.

E. Term and Termination

The term of this Agreement will begin upon our acceptance of your Affiliate Program application and will end when terminated by either party (the "Term"). Either party may terminate this Agreement at any time, with or without cause provided a 7-day termination notice is given.

You are only eligible to earn Commission Fees on Qualified Purchases occurring during the Term. Commission Fees earned before termination will be eligible for commissions only if the orders for the related PortfoliosLab Products and Services are not canceled within fourteen (14) days and comply with this Agreement. We may withhold your final payment of Commission Fees for a reasonable time to ensure that all Qualified Purchases are valid and payments from Referred Customers are legitimate as determined by PortfoliosLab in its sole discretion.

F. Governing Law

The laws of the Netherlands will govern this Agreement, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the courts located in Amsterdam, Netherlands, and you irrevocably consent to the jurisdiction of such courts.

Report Spam & Abuse

Please send reports of spam and abuse to affiliates@portfolioslab.com. In the case of spam, include the full message being reported as spam including all mail headers.
